6. Payment Terms and Ordering
6.1 Pricing and Fees

We reserve the right to refuse, cancel, or limit any order at any time for any reason, including but not limited to item unavailability, pricing errors, suspected fraud, or capacity constraints. If we cancel an order after payment has been processed, we will issue a full refund to your original payment method.

- WARRANTIES THAT THE WEBSITE WILL BE AVAILABLE, UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE;
- WARRANTIES AS TO THE ACCURACY, COMPLETENESS, RELIABILITY, OR CURRENTNESS OF ANY CONTENT, MENU INFORMATION, NUTRITIONAL DATA, OR ALLERGEN INFORMATION DISPLAYED ON THE WEBSITE;
- WARRANTIES THAT ANY DEFECTS IN THE WEBSITE OR ITS SOFTWARE WILL BE CORRECTED;

8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE UNITED STATES FEDERAL AND STATE LAW, IN NO EVENT SHALL PIZZA LUCE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, SUPPLIERS, OR SERVICE PROVIDERS BE LIABLE FOR ANY:
- INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES;
- LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES;
- PERSONAL INJURY OR PROPERTY DAMAGE ARISING OUT OF YOUR USE OF THE WEBSITE OR SERVICES;
- UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA OR TRANSMISSIONS;
- ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF YOUR USE OF ANY CONTENT POSTED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE WEBSITE;
- DELAYS OR INTERRUPTIONS IN SERVICE, INCLUDING DELIVERY DELAYS DUE TO WEATHER, TRAFFIC, OR OTHER CONDITIONS BEYOND OUR CONTROL.
THESE LIMITATIONS APPLY WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, EVEN IF PIZZA LUCE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.
NOTWITHSTANDING ANY DAMAGE THAT YOU MIGHT INCUR, THE ENTIRE LIABILITY OF PIZZA LUCE AND ANY OF ITS SUPPLIERS UNDER ANY PROVISION OF THESE TERMS SHALL BE LIMITED TO THE GREATER OF (A) THE AMOUNT ACTUALLY PAID BY YOU TO PIZZA LUCE IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liability for consequential or incidental damages, so the above limitations may not apply to you in their entirety.
9. Indemnification
You agree to defend, indemnify, and hold harmless Pizza Luce and its officers, directors, employees, agents, contractors, licensors, service providers, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:
- Your violation of these Terms of Service;
- Your use of the Website or Services in any manner not expressly authorized by these Terms;
- Your violation of any applicable law, rule, or regulation;
- Your infringement of any intellectual property or other rights of any third party;
- Any content you submit, post, or transmit through the Website;
- Any fraudulent, harmful, or misleading activity conducted through your account.
We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of such claims. You agree not to settle any matter without our prior written consent.
10. Governing Law and Jurisdiction
These Terms of Service and any dispute or claim arising out of or in connection with them, including non-contractual disputes or claims, shall be governed by and construed in accordance with the laws of the United States of America and the applicable laws of the state in which Pizza Luce's principal place of business is located, without regard to any conflict of law principles that would cause the laws of another jurisdiction to apply.
To the extent not subject to arbitration as set forth in Section 11 below, you irrevocably submit to the exclusive personal jurisdiction and venue of the state and federal courts located within the applicable jurisdiction of Pizza Luce's principal place of business for the resolution of any disputes not subject to arbitration. You waive any objection to the laying of venue in such courts and waive any objection that such courts are an inconvenient forum.
These Terms are subject to applicable United States federal law, including the Federal Trade Commission Act (15 U.S.C. § 41 et seq.) with respect to unfair or deceptive acts and practices, and any other applicable federal consumer protection statutes. If you are a California resident, you may have additional rights under the California Consumer Privacy Act (CCPA/CPRA) and other California-specific consumer protection laws.
11. Dispute Resolution and Arbitration
11.1 Informal Resolution
Before initiating any formal legal proceeding, you agree to first contact Pizza Luce at [email protected] and attempt to resolve the dispute informally. We will make reasonable efforts to resolve the matter within thirty (30) days of receiving your notice. If we are unable to resolve the dispute informally within that period, either party may proceed to binding arbitration as set forth below.
11.2 Binding Arbitration
EXCEPT FOR DISPUTES THAT QUALIFY FOR SMALL CLAIMS COURT OR DISPUTES SEEKING INJUNCTIVE OR EQUITABLE RELIEF TO PROTECT INTELLECTUAL PROPERTY RIGHTS, ALL DISPUTES ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE WEBSITE SHALL BE RESOLVED THROUGH BINDING ARBITRATION IN ACCORDANCE WITH THE COMMERCIAL ARBITRATION RULES OF THE AMERICAN ARBITRATION ASSOCIATION (AAA), AS MODIFIED BY THESE TERMS.
The arbitration shall be conducted in English, on an individual basis, and shall not be consolidated with any other arbitration or proceeding. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. The Federal Arbitration Act (9 U.S.C. § 1 et seq.) governs the interpretation and enforcement of this arbitration provision.
11.3 Class Action Waiver
YOU AND PIZZA LUCE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, PRIVATE ATTORNEY GENERAL, OR REPRESENTATIVE PROCEEDING. Unless both parties agree otherwise, the arbitrator may not consolidate more than one person's claims.
11.4 Small Claims Court
Notwithstanding the foregoing, either party may bring an individual action in small claims court if the claim qualifies and remains in such court.
12. Third-Party Links and Services
Our Website may contain links to third-party websites, services, or resources, including but not limited to delivery platforms, social media pages, payment processors, and mapping services. These links are provided solely for your convenience. Pizza Luce does not endorse, control, or assume any responsibility for the content, privacy policies, or practices of any third-party websites or services.
Your interactions with third-party websites and services are governed by the terms and privacy policies of those third parties. We strongly encourage you to review those policies before engaging with any third-party service. We shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with your use of any third-party content, goods, or services.
13. Privacy Policy
Your use of the Website is also governed by our Privacy Policy, which is incorporated by reference into these Terms of Service. Our Privacy Policy describes how we collect, use, store, and disclose personal information in connection with your use of the Website and Services. By using the Website, you consent to our collection and use of your personal information as described in our Privacy Policy. If you are a California resident, your rights under the California Consumer Privacy Act (CCPA) and California Privacy Rights Act (CPRA) are further described in our Privacy Policy.
14. Term and Termination
14.1 Duration
These Terms shall remain in full force and effect for as long as you use the Website or maintain an account with Pizza Luce, unless terminated earlier in accordance with these Terms.
14.2 Termination by You
You may terminate your account and discontinue use of the Website at any time by contacting us at [email protected] and requesting account deletion. Termination of your account does not relieve you of any obligation to pay outstanding amounts owed to us.
14.3 Termination by Us
Pizza Luce reserves the right, in its sole discretion and without prior notice or liability, to suspend or terminate your access to the Website and Services, or any portion thereof, for any reason, including but not limited to:
- Your breach of any provision of these Terms;
- Suspected fraudulent, abusive, or illegal activity;
- Extended periods of account inactivity;
- Our decision to discontinue or materially modify the Website or Services.
14.4 Effect of Termination
Upon termination, your right to use the Website and Services shall immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification obligations, and limitations of liability.
15. Changes to Terms of Service
Pizza Luce reserves the right to modify, update, or revise these Terms of Service at any time in its sole discretion. When we make material changes, we will update the "Last Updated" date at the top of this page and, where appropriate, provide you with additional notice (such as by email or a prominent notice on the Website).
Your continued use of the Website after any changes to these Terms constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must discontinue your use of the Website and, if applicable, close your account. We encourage you to review these Terms periodically to stay informed of any updates.
16. Severability
If any provision of these Terms of Service is found to be invalid, illegal, or unenforceable under any applicable law or by a court of competent jurisdiction, such provision shall be deemed modified to the minimum extent necessary to make it enforceable, or if it cannot be so modified, it shall be deemed severed from these Terms. The invalidity or unenforceability of any provision shall not affect the validity and enforceability of the remaining provisions, which shall continue in full force and effect.
The parties agree that any such invalid or unenforceable provision shall be interpreted and applied in a manner that most closely reflects the original intent of the parties as expressed in these Terms.
17. Entire Agreement and Waiver
These Terms of Service, together with our Privacy Policy and any other legal notices or policies published by Pizza Luce on the Website, constitute the entire agreement between you and Pizza Luce with respect to your use of the Website and Services, and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding such subject matter.
No waiver by Pizza Luce of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition, and any failure by Pizza Luce to assert a right or provision under these Terms shall not constitute a waiver of such right or provision. A waiver is only effective if made in writing and signed by an authorized representative of Pizza Luce.
18. Force Majeure
Pizza Luce shall not be liable for any failure or delay in performing its obligations under these Terms to the extent that such failure or delay is caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, fire, flood, war, terrorism, government action or regulation, labor disputes, supply chain disruptions, power failures, internet outages, or any other event of force majeure. In such circumstances, our obligations shall be suspended for the duration of the force majeure event, and we will make reasonable efforts to resume normal operations as soon as practicable.
19. Electronic Communications and Notices
By using the Website and providing your email address, you consent to receive electronic communications from Pizza Luce, including but not limited to order confirmations, account notifications, and promotional materials (subject to your marketing preferences). You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.
All notices to Pizza Luce under these Terms shall be sent via email to [email protected] or via mail to our address on file. Notices shall be deemed effective upon confirmed delivery.
